1. Agreement to Terms

These Terms of Service (the “Terms” or the “Agreement”) govern your use of the website, content, and services offered by Team Levine Holdings, LLC dba PrivateCareConnect (“PCC,” “we,” “our,” or “us”).

By accessing or using the Site or Services, you agree to comply with and be bound by these Terms. If you do not agree, you must discontinue use immediately.

These Terms incorporate our Privacy Policy, which explains how your data is collected and used.

PCC reserves the right to update these Terms at any time. Material changes will be communicated via email or prominently posted on the Site at least 30 days before they take effect. Your continued use of the Services after any changes means you accept the revised Terms.

2. Definitions

  • Client: Any individual, family member, or representative seeking in-home care for themselves or another.
  • Caregiver: An independent contractor, not an employee of PCC, who offers non-medical personal care services directly to Clients.
  • User: Any person using the Site or Services, including Clients and Caregivers.
  • Services: Referral and administrative support services that introduce Clients to Caregivers, along with optional support tools such as scheduling, compliance tracking, and payment facilitation.

3. Description of Services

3.1 What PCC Does

PCC acts as a referral and matching service. We help Clients connect with qualified, independent Caregivers by:

  • Recruiting and screening Caregivers, including background and credential checks;
  • Facilitating introductions and interviews;
  • Providing administrative tools to support scheduling, compliance, payroll facilitation, and recordkeeping.

3.2 What PCC Does Not Do

  • We are not an employer. Caregivers are not employees, agents, or contractors of PCC. Caregivers are engaged directly by Clients.
  • We do not provide medical services. We are not a medical provider, home health agency, or diagnostic service.
  • We do not control care delivery. We do not supervise, monitor, or direct the services provided by Caregivers.
  • We do not guarantee outcomes. PCC facilitates introductions but does not guarantee the quality, suitability, or availability of any Caregiver.

3.3 Geographic Scope

Our Services are currently available in North Carolina, South Carolina, and Georgia, with expansion planned.

4. User Responsibilities

4.1 Clients

Clients acknowledge and agree that they are solely responsible for:

  • Interviewing and selecting Caregivers;
  • Defining the scope, schedule, and rate of services directly with Caregivers;
  • Complying with all applicable tax and wage laws;
  • Ensuring a safe home environment for Caregivers;
  • Supervising and monitoring the care provided.

4.2 Caregivers

Caregivers acknowledge and agree that they are solely responsible for:

  • Maintaining legal authorization to work in the U.S.;
  • Keeping certifications, licenses, and health requirements current;
  • Carrying appropriate liability insurance;
  • Providing services directly to Clients in compliance with applicable law.

4.3 Accuracy of Information

Users agree to provide true, complete, and up-to-date information at all times. PCC is not responsible for errors or misrepresentations made by Clients or Caregivers.

5. Screening & Verification

PCC facilitates background checks, credential verification, employment references, and insurance verification for Caregivers. These screenings may include:

  • Criminal background checks (local and national);
  • Driving records;
  • Employment and reference verification;
  • Credential verification (CNA, HHA, etc.);
  • Insurance confirmation.

PCC relies on third-party vendors for these screenings. Information is provided “as is” and PCC makes no warranties regarding its completeness or accuracy. Clients remain responsible for interviewing and selecting Caregivers.

6. Eligibility

By using the Services, you represent and warrant that:

Caregivers represent they are legally authorized to work in the U.S.7. Accounts & User Content

  • Users are responsible for protecting their login credentials.
  • You may not share accounts or allow unauthorized access.
  • You are solely responsible for any content you provide, including accuracy.
  • By submitting content (such as caregiver profiles, job postings, or reviews), you grant PCC a non-exclusive license to use it to operate the Services.
8. Acceptable UseYou may not use the Site or Services to:
  • Post false, defamatory, harassing, obscene, or illegal material;
  • Engage in fraudulent activity or misrepresentation;
  • Interfere with the operation of the Site;
  • Attempt unauthorized access to PCC systems.
Violation of these rules may result in suspension or termination of your account.9. Intellectual PropertyAll Site content, design, and technology are the property of PCC or its licensors. You may not copy, reproduce, sell, or exploit PCC intellectual property without written consent.10. Payments & Fees
  • Caregivers and Clients negotiate compensation directly.
  • PCC charges a referral and/or administrative fee for Services. These fees are disclosed at the time of engagement.
  • Unless expressly stated otherwise, PCC fees are non-refundable.
  • Clients are responsible for any applicable state or local sales taxes.
11. Management ToolsPCC may provide access to third-party platforms for administrative support, such as:
  • Visit tracking;
  • Payment facilitation;
  • Recordkeeping and compliance monitoring.
Use of these tools does not create an employment relationship between PCC and Caregivers.12. Privacy & CommunicationsBy using our Services, you consent to receiving communications electronically (email, text, phone). See our Privacy Policy for details on data usage.13. No Professional AdviceAll information on the Site or Services is for informational purposes only. It is not a substitute for professional legal, medical, or financial advice. You are encouraged to consult licensed professionals for such matters.14. Disclaimers & Limitation of Liability
  • The Services are provided “as is” without warranties of any kind.
  • PCC disclaims all warranties, including merchantability and fitness for a particular purpose.
  • PCC does not control the actions of Clients or Caregivers and is not responsible for their conduct.
  • You assume all risks from using the Services.
  • PCC’s total liability shall not exceed the greater of $50 or the total fees paid by you to PCC in the last 12 months.
  • You agree to indemnify and hold PCC harmless from claims arising out of your use of the Services.
15. Disputes15.1 Arbitration AgreementAll disputes or claims arising from or related to this Agreement will be resolved through binding arbitration, conducted in accordance with the rules of the American Arbitration Association (AAA). Arbitration shall be held in Catawba County, North Carolina before a single neutral arbitrator. The arbitrator’s decision will be final and binding.15.2 Efficiency and FairnessArbitration is intended to provide an efficient and fair resolution. The arbitrator may award any remedy available under applicable law, including damages and equitable relief.15.3 Court Jurisdiction if Arbitration Is UnavailableIf arbitration is not available or does not resolve the dispute, the parties agree to submit to the exclusive jurisdiction of the state and federal courts located in Catawba County, North Carolina.15.4 Governing LawThis Agreement shall be governed by the laws of the State of North Carolina without regard to conflict-of-law principles.15.5 AmendmentsAny modifications to this Agreement must be made in writing and signed by both the Client and PCC. Oral modifications are invalid.16. TerminationPCC may suspend or terminate your account and access to Services at any time for violation of these Terms, misuse of the Site, or other reasons at PCC’s discretion.17. Third-Party LinksThe Site may contain links to third-party websites. PCC is not responsible for the content, products, or services on those sites. Use of such sites is at your own risk.18. Entire AgreementThese Terms, together with our Privacy Policy and any Additional Terms, constitute the entire agreement between you and PCC.19.   • Communicate with you via phone, email, or text;
  • Improve and protect our Services;
  • Meet legal and regulatory requirements.
We will never sell your personal information to third parties.4. Sharing Your InformationWe may share information in the following ways:
  • With Caregivers: PCC shares Client details necessary for introductions and interviews.
  • With Clients: PCC shares Caregiver details necessary for interviews and matching.
  • With Third-Party Vendors: to conduct background checks, credential verification, payment processing, and technology support.
  • For Legal Reasons: if required by law, regulation, subpoena, or to protect PCC’s rights, safety, or property.
  • Sharing of Personal Information: Team Levine Holdings LLC DBA PrivateCareConnect will not share, sell, or disclose your personal information or mobile opt-in data to third parties without your explicit consent, except where required by law. Your information is kept confidential and used solely for the purposes you have agreed to. All the above categories exclude text messaging originator opt-in data and consent; this information will not be shared with third parties. Text messaging opt-in data is not being shared with third parties.
  • Opting Out of Text Messages: You have the right to opt out of receiving text messages from PrivateCareConnect at any time. To opt-out, you can reply “STOP” to any text message you receive from us.
  • Consent and Opt-In: By providing your phone number and opting in to receive text messages, you consent to the collection and use of your personal information as described in this policy. We ensure that your consent is obtained explicitly and that you are informed about the types of messages you will receive.
